NeuroDerm Ltd. of 3 Pekeris Street, Ruhrberg Science Bldg., Bell Entrance, Rabin Science Park, Rehovot, Israel (“NeuroDerm” and all references, as the context requires, to “we”, “us” or “our”) maintains this site and any services provided through it (together the “Site”) for your personal information, education, and communication. While you should feel free to browse the Site, please understand that your access to and use of the Site is subject to the following terms and conditions (“Terms”) and all applicable laws.

THIS SITE DOES NOT PROVIDE MEDICAL ADVICE. It offers general information about NeuroDerm, its products, and activities, and enables the submission of applications and CVs for positions at NeuroDerm. It also provides contact information, allows registration to mailing lists, and more, but it is not a substitute for professional medical advice, diagnosis, or treatment. Products under development mentioned here have not been approved by any regulatory agency and are not for use outside of clinical trials. For medical concerns, consult your healthcare provider. Although NeuroDerm may from time to time monitor or review transmissions and messages to the Site, NeuroDerm is under no obligation to do so and assumes no responsibility or liability in connection therewith.

8. INDEMNIFICATION

Upon its first demand, you agree to defend, indemnify and hold NeuroDerm, its shareholders, directors, officers and employees, harmless from any claim, liability, cost, loss, damage and expense (including reasonable legal fees) arising from and/or caused due to: (i) your use, misuse of, inability to use and/or activities in connection with the Service; (ii) your violation of any of these Terms; or (iii) any damage of any sort, whether direct, indirect, special or consequential, you may cause to any third party with relation to the Site. It is hereby clarified that this defense and indemnification obligation will survive these Terms.

Without derogating from the foregoing, we reserve the right to assume the exclusive defense and control of any matter which is subject to indemnification by you, which will not excuse your indemnity obligations hereunder and in which event you will fully cooperate with us in asserting any available defense. You agree not to settle any matter subject to an indemnification by you without first obtaining our prior express written approval.

Opinions, advice, statements, products, or services from third parties do not reflect NeuroDerm’s views. NeuroDerm is not responsible for third-party content and may not screen it. 11. Miscellaneous

If any of these Terms is determined to be illegal, invalid or otherwise unenforceable by reason of law then to the extent and within the jurisdiction in which that term is illegal, invalid or unenforceable, it shall be severed and deleted from these Terms and the remaining terms shall survive, remain in full force and effect and continue to be binding and enforceable.

These Terms shall be governed by and interpreted in accordance with the laws of the State of Israel. Disputes arising in connection with these terms shall be subject to the exclusive jurisdiction of the courts of Tel Aviv, Israel.

We may, without restriction, assign, transfer or delegate these Terms and any rights and obligations hereunder, at our sole discretion and we will, on a best effort basis, provide you with reasonable notice of any such assignment.

The failure of either party to enforce any rights granted hereunder or to take action against the other party in the event of any breach hereunder shall not be deemed a waiver by that party as to subsequent enforcement of rights or subsequent actions in the event of future breaches.
